These Terms of Use ("Terms") govern your access to and use of the TripYacht website at tripyacht.com and any related applications, APIs, and digital services (collectively, the "Site") operated by TripYacht ("TripYacht", "we", "us", or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms of Use cover your use of the Site itself. Bookings made through the Site are additionally governed by our Terms of Service, and our data practices are described in our Privacy Policy.

1. Acceptable Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that:

• Violates any applicable federal, state, local, or international law or regulation.
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property right.
• Is fraudulent, deceptive, or misrepresents your identity or affiliation.
• Harasses, abuses, threatens, or harms any other person.
• Sends unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation.

2. Accounts and Security

Some features of the Site require you to create an account. You must provide accurate and complete information when registering and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@tripyacht.com if you suspect unauthorized access to your account.

We reserve the right to disable any account, at any time, if in our opinion you have failed to comply with these Terms or engaged in activity that may harm TripYacht, its users, or third parties.

3. Intellectual Property

The Site and its entire contents, features, and functionality — including text, graphics, photos, logos, icons, images, audio, video, data compilations, and software — are owned by TripYacht, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may view, download, and print content from the Site solely for your personal, non-commercial use in connection with evaluating and booking a charter. You may not:

• Copy, modify, distribute, publish, license, sell, or create derivative works from any content on the Site.
• Use any data mining, robots, scrapers, or similar data gathering tools to access the Site or extract content.
• Use the Site's trademarks, logos, or brand features without our prior written permission.

4. User-Generated Content

If the Site allows you to submit reviews, comments, photos, or other content ("User Content"), you retain ownership of your User Content but you grant TripYacht a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, fully sublicensable license to use, reproduce, display, modify, distribute, and create derivative works of the User Content in connection with operating and promoting the Site. You represent that you own or have all necessary rights to your User Content and that it does not violate these Terms or the rights of any third party.

We have no obligation to monitor User Content, but we reserve the right to remove or refuse any User Content at our sole discretion.

5. Prohibited Activities

You agree not to:

• Interfere with or disrupt the Site or servers or networks connected to the Site.
• Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site.
• Use any device, software, or routine that interferes with the proper working of the Site.
• Introduce any viruses, trojan horses, worms, or other malicious code.
• Attack the Site via denial-of-service or distributed denial-of-service attacks.
• Reverse engineer, decompile, or disassemble any portion of the Site.
• Frame or mirror any part of the Site without our prior written consent.
• Impersonate or attempt to impersonate TripYacht, a TripYacht employee, another user, or any other person.

6. Third-Party Links and Content

The Site may contain links to third-party websites, advertisements, and services that are not owned or controlled by TripYacht. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. Your use of third-party sites is at your own risk and subject to their own terms.

7. Termination

We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, your right to use the Site immediately ceases. All provisions of these Terms that by their nature should survive termination will survive, including ownership, disclaimers, indemnity, and limitations of liability.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. TripYacht does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information displayed on the Site will be accurate, complete, or current.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRIPYACHT OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100.00).

10. Governing Law

These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of California, without regard to its conflict of laws provisions. Any legal action must be brought exclusively in the state or federal courts located in Los Angeles County, California.

11. Changes

We may revise these Terms at any time by posting an updated version on the Site. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
